Terms and Conditions for Lithium Battery Recycling - AmericanElectric Recycling
1. INTRODUCTION
These Terms and Conditions (hereinafter referred to as "the Terms") govern the use of the lithium battery recycling and intermediation services offered by American Electric Energy (hereinafter referred to as "the Intermediary"). By using this service, you (hereinafter referred to as "the Customer") agree to comply fully with these Terms. If you do not agree with any of these Terms, you may not use the service.
2. DEFINITIONS
- Lithium Batteries: Rechargeable batteries that use lithium as their primary component, including but not limited to LFP, LCO, NMC, LTO, etc.
- Transportation: Service provided exclusively by UPS or another authorized carrier, under their terms and conditions.
- Misuse: Any handling, storage, or disposal that violates applicable regulations or instructions provided by the Intermediary or the recycling company.
- Damages: Losses, injuries, contamination, or harm resulting from the transportation, storage, or recycling of the batteries.
3. SERVICES PROVIDED
The Intermediary acts as a facilitator between the Customer and authorized lithium battery recycling companies. The Intermediary is not responsible for the recycling process itself or for the transportation of the batteries, which is managed by an authorized carrier.
4. CUSTOMER OBLIGATIONS
The Customer agrees to:
- Regulatory Compliance: Comply with all applicable federal, state, and local regulations for the storage, transportation, and delivery of lithium batteries.
- Battery Preparation: Package and prepare the batteries in accordance with UPS and DOT safety standards for transportation.
- Accurate Information: Provide accurate information about the batteries to be recycled, including their condition, quantity, and technical specifications.
- Insurance: Maintain valid insurance policies covering general liability for a minimum of $2,000,000 per incident and environmental damages resulting from battery handling.
5. LIABILITY WAIVER
The Intermediary shall not be liable for:
- Damages or incidents occurring during the transportation of the batteries.
- Damages or incidents occurring during or after the recycling process.
- Misuse of the batteries by the Customer or any third party.
The Customer expressly waives any legal or financial liability of the Intermediary arising from accidents, contamination, or damages related to the transportation, storage, or recycling of the batteries.
6. CONFIDENTIALITY
All information shared under these Terms is confidential and may not be disclosed to third parties without written authorization. This obligation remains in effect for 5 years after the termination of the contractual relationship.
7. DISPUTE RESOLUTION
- Direct Negotiation: Any disputes shall first be resolved through direct negotiation between the Parties.
- Arbitration: If no resolution is reached, the Parties agree to mandatory arbitration under the rules of the American Arbitration Association (AAA), with the seat of arbitration in [State]. Arbitration costs shall be borne by the losing Party unless the arbitrator decides otherwise.
8. MODIFICATIONS AND TERMINATION
- Modifications: These Terms may be modified at any time by the Intermediary. Modifications will take effect upon publication.
- Termination: The Intermediary reserves the right to terminate or suspend the service to any Customer who violates these Terms, without prior notice.
9. ACCEPTANCE OF TERMS
By using the lithium battery recycling and intermediation service, the Customer agrees to be bound by these Terms and Conditions. If the Customer does not agree with any of these Terms, they must refrain from using the service.
